LazyTechW (“The Service Provider”, “We”, “Us”, or “Our”) provides a variety of IT products, software solutions, and technical services. By purchasing any product or engaging our services, the Client (“You”, “Your”, or “Customer”) agrees to be bound by the following Terms and Conditions.

1. DEFINITIONS

  • "Service" or "Product" refers to any IT solution provided by LazyTechW, including but not limited to software code, scripts, digital downloads, system configurations, technical consulting, installation services, and maintenance support.

  • "Deliverables" refers to the final output, files, or configurations provided to You upon completion of an Order.

  • "Order" means the purchase of a Product or Service through our website, invoice, or designated sales channel.

2. SERVICE PROVISION & DELIVERY

2.1. Scope: We agree to provide the IT Products and Services as described in the product description, invoice, or Statement of Work (SOW) agreed upon at the time of purchase.
2.2. Delivery:
* Digital Products: Delivery is generally immediate or within [24-48] hours upon successful payment.
* Services/Consulting: Timelines for custom setup or consulting will be agreed upon mutually or specified in the service description. 2.3. Modifications: Any changes to the scope of work requested by You after the Order has been placed may be subject to additional charges or revised delivery timelines.

3. CUSTOMER OBLIGATIONS

3.1. Access and Cooperation: To perform certain Services (e.g., server setup, software installation), We may require access to Your systems, servers, or accounts. You agree to provide necessary access and information in a timely manner.
3.2. Legality: You represent and warrant that You will use our Products and Services only for lawful purposes. You agree not to use our solutions for hacking, spamming, hosting malicious content, or infringing on third-party intellectual property.
3.3. Backups: Unless backup services are explicitly part of the Order, You are solely responsible for maintaining backups of Your data and systems prior to our work.

4. PAYMENT TERMS

4.1. Pricing: Prices are as displayed at the time of purchase or as quoted in Your invoice.
4.2. Payment: Full payment is required before the delivery of digital products or the commencement of services, unless otherwise agreed in writing.

5. 30-DAY MONEY-BACK GUARANTEE (REFUND POLICY)

5.1. No-Reason Guarantee: We stand behind the quality of our work. We offer a 30-Day No-Reason Money-Back Guarantee. If You are not satisfied with the Product or Service for any reason, You may request a full refund within thirty (30) calendar days of the original purchase date.
5.2. Process: To initiate a refund, You must contact our support team at service@lazytechw.cn with Your order details.
5.3. Effect of Refund:
* Upon processing a refund, Your license to use the Product or Service is immediately revoked.
* You must uninstall, delete, and cease using any software, scripts, or configurations provided by LazyTechW.
* For consulting services, We retain the right to reverse configurations where possible or invalidate license keys.
5.4. Exclusions: This guarantee does not apply to:
* Third-party license fees (e.g., if We purchased a third-party software license on Your behalf that is non-refundable).
* Services that have been fully consumed and signed off (e.g., a completed consultation where You explicitly approved the final result more than 30 days ago).

6. INTELLECTUAL PROPERTY

6.1. Ownership: Unless explicitly stated otherwise (e.g., "Work for Hire"), LazyTechW retains all intellectual property rights to the underlying code, methodologies, and tools used to deliver the Service.
6.2. License: Upon full payment, You are granted a non-exclusive, perpetual, non-transferable license to use the Deliverables for Your own internal business or personal purposes. You may not resell, redistribute, or sub-license our Products without our prior written consent.

7. LIMITATION OF LIABILITY

7.1. Service "As Is": All Products and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
7.2. Damages: To the maximum extent permitted by law, LazyTechW shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or business interruption, resulting from Your use or inability to use our Products or Services.
7.3. Liability Cap: In no event shall LazyTechW’s aggregate liability for all claims related to the Order exceed the total amount paid by You to LazyTechW for that specific Order.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless LazyTechW from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from:
* (i) Your violation of these Terms;
* (ii) Your violation of any third-party right, including copyright or privacy right;
* (iii) Any claim that Your content or use of our Service caused damage to a third party.

9. TERMINATION

We reserve the right to terminate or suspend access to our Services or revoke Product licenses immediately, without prior notice or liability, if You breach these Terms (e.g., unauthorized resale of our software or using our services for illegal activities).

10. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of China / US, without regard to its conflict of law provisions.

11. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Service constitutes acceptance of those changes.
